These Terms of Service ("Terms") govern your access to and use of VoiceOS AI Inc.'s ("VoiceOS," "we," "us," or "our") AI-powered phone agent services. By using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using VoiceOS services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using VoiceOS on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

VoiceOS provides AI-powered phone agent services that can:

  • Answer incoming phone calls on your behalf
  • Book appointments and manage scheduling
  • Capture lead information and customer inquiries
  • Transfer calls to designated phone numbers
  • Provide call transcripts, recordings, and analytics

3. Acceptable Use

You agree to use VoiceOS only for lawful purposes. You shall not:

  • Use the service for any illegal or fraudulent activity
  • Impersonate any person or entity
  • Make calls that violate telemarketing laws or regulations
  • Use the service to harass, abuse, or harm others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Reverse engineer or copy our technology
  • Resell or redistribute the service without authorization

4. Subscription and Payment

Billing

VoiceOS offers subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Usage-Based Charges

Some features may incur usage-based charges (e.g., per-minute call charges, SMS fees). These charges will be billed in addition to your subscription fee.

Refunds

We offer refunds on a case-by-case basis. Contact support@voiceos.ai for refund requests.

5. Intellectual Property

VoiceOS and its licensors own all rights, title, and interest in the service, including all software, algorithms, and technology. You retain ownership of your data and content. By using our service, you grant us a license to use your content solely to provide the service.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO VOICEOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or completely secure.

8. Service Availability

We strive to maintain high availability but do not guarantee 100% uptime. We may temporarily suspend the service for maintenance, updates, or emergency repairs. We will provide reasonable notice when possible.

9. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your account if you violate these Terms or engage in activity that harms our service or other users.

Upon termination, your right to use the service will cease immediately. We will retain your data for a reasonable period to allow you to export it.

10. Indemnification

You agree to indemnify and hold harmless VoiceOS and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

11. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the service. Your continued use of the service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
